Banking and Finance

Our corporate practice involves advising on the legal issues of proposed investments, corporate finance, project finance, syndicated lending, aviation securitization, finance leasing, corporate management & restructuring, home mortgage financing, mergers and acquisitions, capital market transactions, financial markets and regulation in respect of banks and non-bank financial institutions, drafting documentation including joint ventures, financing and security documents for various transactions.

We conduct extensive legal research and due diligence, opine on applicable laws and regulations, draft and/or review contracts and other documents and work with regulatory authorities and other governmental agencies and departments to secure applicable consents and approvals.

In respect of secured transactions, we ensure perfection of security documents and provide legal assistance by advising on best options, litigation and enforcement of the security should the need arise. We also provide advice on the most effective corporate structures and procedures for doing business in Ghana, company secretarial service and corporate housekeeping including ensuring compliance with constitutional documents and statutory requirements such as filings at the Companies Registry.

Real Estate

We undertake due diligence and title verification, researching land title records and arranging for property survey and zoning approvals, title registration, conveyancing, assisting with property acquisitions, sales and transfers by drafting relevant documentation and advising on applicable laws, liaising with governmental organizations and officials for the necessary consents.

Employment/Labour

We draft and or review contracts of employment, employee manuals and handbooks, training and bond agreements. We advise generally on various aspects of employment including employment disputes, termination of employment, declaration of redundancies, severance pay, employee compensation claims and settlement contracts, strikes and lockouts generally, strikes by employees pending collective bargaining agreement (CBA) negotiations, contemplation of possible ‘lock-out’ by employer, deadlock between an employer and employee pending conclusion of CBA negotiations, constructive dismissal of management staff and interdiction of employee implicated in theft of company property, and other terms and conditions of employment of employees whether unionised or not.

We also advice on the legal obligations of employers including withholding tax obligations and other statutory requirements relating to social security payments.
