1. Investment advice
We assist clients with all their legal needs in implementation of investment activities, whether a new green-field project or acquisition of an existing one. 3. M&A and other commercial and transactional services
We advise on a variety of matters that client requests, such as drafting and negotiation of commercial contracts, issuing legal opinions on specific issues that clients are concerned, assisting with commercial dispute resolution before the courts and arbitration (both domestically and internationally). In addition, one of our strong areas of expertise is Merger and Acquisition (M&A). We join with clients from the very first beginning when the deal is structured until the completion of a comprehensive due-diligence over target companies, negotiation of transaction documents, and closing of the transaction upon satisfaction of numerous conditions precedent that the parties have set forth in the M&A contracts.

Mr. Tran Si Vy is the Managing Partner of ENT Law. He graduated from Hanoi Law University with a LLB and later earned a LLM from TLBU Graduate School of Law in Seoul, Korea. Mr. Vy has been practising law for more than 15 years and has acquired many experiences in this period. He concentrates his practice primarily on general corporate, M&A, investment, corporate governance, employment, contracts, real property transactions and commercial dispute settlement. Mr. Vy also has extensive experiences negotiating high-value contracts and has been lead negotiator of many other complex transactions related to all aspects of investment (e.g., business cooperation contracts, joint-venture agreements), business acquisition (e.g., share purchase agreement, shareholders’ arrangements, technical assistance agreements, etc) and construction, lease and ownership of real property.
Prior to leading ENT Law, he had some 10 years working as Corporate Team Leader and Senior Partner of Leadco Legal Counsel, where has been recognized for his professional accomplishment by being named as “highly recommended business lawyer in Vietnam” by many well-known rating publications including Legal500 and Chambers&Partners. He frequently writes articles and gives lectures at certain universities throughout the country where he shares his thoughts and skills on development of lawyer career with others.
Mr. Vy represents domestic and international clients in a wide range of industries, including real estate, energy, insurance, infrastructure, telecom and healthcare. His clients include economic organizations, lending institutions, developers, builders, contractors, etc. He also has vast experience in alternative dispute settlement (ADR) especially arbitration, both in Vietnam (such as VIAC) and overseas (such as SIAC). Mr. Dang Thai Hung is the senior partner of ENT Law who graduated from Vietnam National University – The School of Law with a LLB and later with a LLM. He also obtained certain degrees and certificates with high qualification in contract negotiation and business management. Possessing strong background and in-depth knowledge of Vietnamese legal market, Mr. Hung has been, for years, recognized as “a highly recommended lawyer” in the legal community. His areas of expertise include, inter alia, foreign direct investment, merger and acquisition, contract negotiation and preparation, joint-venture, banking and finance, private equity, general corporate and enterprises.

Ms. Tran Thien Thanh is the partner of ENT Law who works under the collaboration with the firm and in charge of financial advice, accounting, auditing and enterprise restructuring. She graduated from National Economics University with a BA and obtained various degrees and qualifications in tax management and auditing/accounting consultancy. Ms. Thanh also joined VACPA, VTCA, VAA and many other professional associations and networks as an active -member. Her main expertise and professional skills include, inter alia, accounting-auditing services in banking, finance, insurance, securities, energy and environment, engineering and hospitality.
With some 15 years of experiences, Ms. Thanh possesses in-depth knowledge on a broad range of accounting and auditing work, which help clients enhance their financial capabilities and operate in a financially proper manner. For many years, she has been working with government bodies and agencies, international banks and financial institutions, State- owned business groups as well as private and public companies in all sectors of business involving accounting/auditing practices. She also acts as a financial adviser to certain significant M&A transactions as a leader of a financial due-diligence team; and further provides corporate finance work for clients ranging from medium businesses to multinational corporations.

Ms. Trang is the special counsel of the firm and practices in areas of corporate, finances, insurance, investment, banking – finance, M&A and employment. Gaining intensive experiences in insurance business after more than 10 years working as a senior official at Insurance Supervision Authority (ISA) of the Ministry of Finance, she adds more value to quality of the firm’s advice concerning all aspects of insurance business practices.
Ms. Trang graduated from the top law schools in Vietnam with a LLB at Hanoi Law University and a LLM at Vietnam National University – The School of Law. Having knowledge in both legal and insurance industries, Ms. Trang is capable of providing a number of specialized services for specific insurance business or transactions. Mr. Nguyen Van Thanh is our special counsel who is in charge of corporate matters for our clients at the firm. He has had some 15 years of experience working alongside with giant business corporations as an in-house counsel and a solution-provider to the management of whom he provides the services. Mr. Thanh possesses strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organizations. His ability to establish and maintain strong relationships within the organization’s legal departments across all businesses is a great asset to our firm.
Mr. Thanh also had some years working as an executive at the Vietnam Competition Authority under the Ministry of Industry and Commerce and currently holds the position as the Vice President of Vietnam Consumers Protection Association, where he has extended his personal network with many government agencies, which eventually help clients seek advice or consultation for some unclear and complicated legal issues. Mr. Thanh’s experience in both corporate counselling and in-house legal departments gives him a valuable perspective when effectively assisting our clients, having sat on their side of the table.
