We advise on the choice of the form of business and management structure, the establishment of new companies, branches or joint ventures (including the preparation of all necessary documentation), the drafting of legal acts of companies and the implementation of internal procedures. We also offer legal advice in the area of ​​the rights of partners or shareholders, including shareholder agreements and options, in the area of ​​corporate governance and regarding the powers and responsibilities of members of management and supervisory bodies. We advise domestic and foreign real estate companies, project companies, investors, banks and other companies involved in real estate financing, real estate funds, shopping center managers and construction companies in relation to the purchase, development, construction, management and financing of real estate.

We advise clients in the acquisition of land (in the form of property transfer and/or purchase of a share in a real estate company, including due diligence), in the establishment of joint ventures for the implementation of real estate projects, and in the negotiation and drafting of financing contracts, construction contracts, housing and business leases and real estate management contracts. We also advise them in legal actions related to the disposal of real estate and represent them in disputes related to real estate and construction.

Our services in this legal area include advice on voluntary restructuring (we have considerable experience in particular in relation to refinancing), protection of creditors' interests in the event of insolvency (including the establishment of the necessary collateral), cross-border insolvency proceedings, liability of management and supervisory bodies (including consequences provided for in insolvency legislation), management of bad loans, purchases of assets or companies of bankrupt debtors, voluntary liquidations and other matters related to insolvency.

We have many years of experience both in protecting and enforcing intellectual property rights. Our lawyers advise domestic and foreign clients from all sectors, always trying to find the most favorable solution for the client. Particularly in the pharmaceutical industry sector, our intellectual property services are also complemented by our knowledge of regulatory issues, which includes, among other things, obtaining the necessary permits for pharmaceutical products, as well as issues related to the labeling and advertising of these products.
