What are the steps to register a SARL in Luxembourg and what costs and timelines apply?

The Private Limited Liability Company (SARL) is one of the most popular legal forms in Luxembourg and is particularly well suited for small and medium-sized enterprises. The minimum required share capital for a SARL is EUR 12,000, which must be deposited in a bank account opened in the name of the company. The articles of association must be notarized, requiring the involvement of a notary. The share capital must be paid in at the time of the company’s incorporation.

On average, the incorporation process takes one to two months, in addition to obtaining a business permit from the Luxembourg Ministry of the Economy.

You may benefit from a VAT exemption up to an annual turnover of EUR 50,000. Beyond this threshold, VAT registration will be mandatory.
