- Acted for a large environmental services company in a private acquisition of its shares by a foreign listed company.

- Assisted in the share buyback and capital reduction of a company as part of their corporate restructuring plans.
- Assisted a non-profit women's religious organisation in the incorporation of its regional body in Singapore.
We advise on mergers and acquisitions, reverse takeovers, IPOs, convertible note and bond issues, security arrangements, major asset acquisitions and disposals and employee share option plans. We have acted as counsel to issuers, underwriters and issue manager in IPOs, given advice relating to restructuring matters, including pre-IPO restructuring exercises, M&As and a variety of fund raising exercises.
Transaction Experience:
- Advised a SGX-ST listed company in its proposed dual primary listing on the KOSDAQ Market of the Korea Exchange by way of issuance of depositary receipts.
- Advised a SGX-ST listed company on the sale of its non-core business to a large Japanese conglomerate.
- Advised the controlling shareholders of a large pharmaceutical company listed on the SGX-ST on a general offer to acquire all the issued and paid-up ordinary shares in the capital of the target company.
- Advised a Singapore incorporated company in the placing and admission to trading of the enlarged issued share capital of its restructured group to AIM, a market operated by London Stock Exchange plc.
- Advised a Singapore group of companies in connection with the reverse takeover of a company listed on the Australian Securities Exchange.
- Executed several voluntary delistings of a number of companies listed on the SGX-ST.
- Advised a large water treatment company listed on the SGX-ST on the private placement of new ordinary shares in its capital, representing 51% of its enlarged share capital to a Saudi Arabian holding company.
- IPO of companies across many sectors on the SGX-ST, and secondary listing of foreign-listed companies on the SGX-ST.

Transaction Experience:
- Advised on setting up of private equity funds and venture capital funds through traditional structures as well as the newly introduced Variable Capital Company (VCC) regime.
- Advised a Southeast Asian fund set up by SoftBank in the preparation and review of investment documents relating to tech start-up companies in Asia.
- Advised Singapore-based on-demand grocery concierge and delivery service honestbee in its entire start-up process in Singapore.
- Advised a payment gateway start-up in the preparation of investment documents relating to multiple series seed funding rounds, such as series seed preference shares subscription agreements and shareholder’s agreements.
- Advised a contractor in the sale and supply of goods and services to Google for the launch and manufacture of the Google Glass.
- Advised Infocomm Investments Pte Ltd (IIPL), SPH Media Fund Pte Ltd and Sunnyvale-headquartered global accelerator Plug and Play, in the setting up of a corporate accelerator program (SPH Plug & Play Pte Ltd) focused on building high growth, innovation driven Singapore-based digital media startups.
- Advised IIPL in its tie-up with Singapore Power, to run an accelerator known as Spark Accelerator, Asia’s first utility-led accelerator programme to promote growth of start-ups in the energy sector.
- Advised IIPL in its tie-up with Ascendas Land International Pte Ltd and Shenzhen Runyang Capital Investment Company Ltd to run a cross-border accelerator known as Airmaker to be the conduit for start-ups to develop Internet of Things or IoT solutions address Asia as a key market initially.

Transaction Experience:
- Advised a large Scandinavian bank on applicable Singapore banking and securities laws and regulations, including the review and localisation of their banking documents, advising on products and services and providing specific legal advice as to licences and permits required.
- Advised a private investment group in the setting up of a factoring business from inception to the full running of the setup.
- Advised on and prepared convertible bonds, notes and banking/loan agreements & documents for banks, financial institutions and other lending entities.
We advise companies, financial institutions, fund managers, VCs on matters relating to fund formation and applicable Singapore securities regulations, including application for capital markets services licences, financial adviser’s licences, advising on the scope and types of exemption from the licensing regime and offering restrictions. We provide services under the SAL Payment Regulatory Evaluation Programme (PREP) and have advised clients on matters relating to the Payment Services Act. We have also assisted numerous start-ups in their application to the MAS for a Payment Institution License.
