About us

Bán, S. Szabó, Rausch & Partners (BSRP) is an independent full service Hungarian law firm, whose clientele primarily consists of Hungarian and foreign/international companies. Its practice includes mergers and acquisitions (M&A), advice in regulatory matters, competition law, real estate, banking and financing, energy law, as well as a general corporate law practice.

Our Office was established in 1997 as a result of the reorganization of the Budapest office of Shearman & Sterling. Between 2004-2014 the Office operated “in co-operation with” Gleiss Lutz, a German-based reputable international law firm. Currently, we are entirely independent, working with multiple international law firms, with some of them on a best friend basis. Our office is a member of IBLC, an international alliance of boutique law firms.

On 1 January, 2021 the law office has changed its name to Bán, S. Szabó, Rausch & Partners. János Rausch became our new managing partner as of 1 June 2021.

Bán, S. Szabó, Rausch & Partners’ experience in labour law matters allows to represent and advise Hungarian and multinational clients in all matters related to Hungarian labour and employment laws including issues related to legal successorship in M&A matters.

Bán, S. Szabó, Rausch & Partners’ labour law practice includes

  • Transactions: In connection with acquisitions, Bán, S. Szabó, Rausch & Partners’ labour specialists are integrated into the due diligence team to identify eventual risks related to the employment and labour law conduct of the target, as well as to find out more about the special provisions relating to the management of the target company;
  • Litigations:  Bán, S. Szabó, Rausch & Partners’ attorneys focus on preventive counselling and strategies to avoid litigation, but when necessary, services include in-court litigation and dispute resolution;
  • General advice: Bán, S. Szabó, Rausch & Partners not only advises with regard to the legal situation, but develops strategies with its clients for the practical problems which they encounter in all areas of individual and collective labour and employment law;
  • Programs and schemes: Advising clients in connection with confidentiality, non-competition, non-discrimination issues, the elaboration of different bonus programs and employee share offering schemes;
  • Regulations: Preparing executive and general employment contracts, various internal regulations (ethics, bonus, home office work regulations), gives legal opinions on labour law issues (leave, salary, confidentiality, restriction of competition), gives opinions and prepares termination documents, gives advice on collective redundancies;
  • Data Protection: Advising on employment related data protection issues, compliance with the GDPR, employee monitoring options (camera, e-mail, internet, telephone, GPS), operation of whistle-blower system, and the processing and transfer of employee data (central registration of the employee data at another company of the group);
  • Employee share offerings: Advising relating to employee incentive programs. Employees are often granted with shares or options for free or they can subscribe on a discounted price as a benefit linked to their employment or linked to certain performance goals. Our usual task is to provide the issuer and the local subsidiaries with advice on the Hungarian aspects of the program, focusing on securities law, labour law, data protection law and other legal matters. Some of these programs qualify as private offerings under the securities regulations, still, registration of the offering with the National Bank of Hungary is required, which registration is carried out by our law firm on behalf of the issuer.

A legal dispute is the ultimate test of any advice provided and document produced by other practice areas.

We represent our clients before the competent courts as well as domestic and foreign arbitration tribunals (such as the MKIK Permanent Arbitration, ICC Arbitration, ICSID). Our dispute resolution practice includes civil, commercial litigation and administrative litigation in connection with various regulatory and competition law proceedings. It is also a vital part of the dispute resolution practice to provide mediation services to avoid unnecessary disputes, where the positions of the parties can be reconciled. When providing dispute resolution advice or act on behalf of our clients in various disputes, it is not only the relevant legal background that we carefully study, but we also strive to understand the relevant factual background and gain substantial industry knowledge.

It is an integral part of our dispute resolution practice to provide proactive counselling to our clients, so that they will not be obstructed trough their own actions and declarations from enforcing their claim or alternatively defending their case.

A speciality of our dispute resolution practice is to act as expert witness as to the contents of Hungarian substantive law in foreign in court litigation or ADR proceedings.
