The team meets the full spectrum of client needs related to real estate acquisitions, development, financing, ownership, management, leasing, and disposition of commercial real estate assets, and regulatory matters, environmental compliance, and other construction and development issues. The following are some of the relevant transactions that members of our team have worked on in the recent past:

International Finance Corporation (“IFC”) and the Industrial Development Corporation (“IDC”): Advisor to the International Finance Corporation (“IFC”) and the Industrial Development Corporation (“IDC”), a Zambian government holding company for all parastatals, with respect to the purchase of proposed sub-division of farm from Zambezi Ranching and Cropping Limited to be used as one of the project sites for Round 2 of the Scaling Solar Project.

Martifer Solar SA: Advisor to Martifer Solar SA, a provider of photovoltaic (PV) turnkey solutions for engineering, procurement, and construction (EPC) projects, with respect to the construction of a 20MW solar station. Our role included conducting a due diligence on Plot 29 Palabana, Lusaka on which Martifer Solar SA intends to enter into a lease agreement.

Ernst & Young Subsidiary: Advisor in relation to the review of the Lease Agreement entered with Green Bay, pertaining to for Plot N0. 189 Kanyanta Drive, Kitwe, to ensure compliance with Zambian law.

Massbuild Pty Limited: Advisor in relation to the review of lease agreement between Kingdom Properties Limited and Builders Warehouse International (Z) Limited relating to subdivision 8 of Farm No. 397, Lusaka.

UFF African Agri Investment: Advisor to UFF African Agri Investment, Fund Advisors with a dedicated focus on investments in the agri sector in Africa, in relation to the purchase of farm blocks in Kabwe and all farm equipment thereof from Alliance One Zambia.

Lusanga Group Holdings: Advisor to Lusanga Group Holdings in relation to the conveyancing procedures pertaining to the purchase of Plot No. 1032 situate on Nile road in Riverside in Chingola from Southern Cross Motors.

Bicon Zambia Limited: Advisor to Bicon Zambia Limited, a member of the BICON Group of companies which is a well-established firm of Consulting Engineers and Project Managers, with respect to the proposed construction of a hotel and office park in Zambia.

Vedanta Resources Plc (“Vedanta”): Advisor to Vedanta with respect to conducting a due diligence investigation of assets of the Anglo-American Corporation located in South Africa, Namibia and Ireland about the Corporation’s Zinc mining, prospecting rights or tenements

CuZam Resources Limited (“CuZam”): Advisor to Cuzman on undertaking a due diligence investigation on Krones Zambia Limited for a possible acquisition and compilation of a report as input with respect to a prospectus for an initial public offering on the Australian Stock Market

Stanbic Bank: Advisors and legal representatives to Stanbic Bank in relation to a dispute with Trade Kings Limited involving the breach of forward exchange contract valued at USD 4.8 million, representing the first-ever derivative litigation in Zambia

Tullow Zambia B.V.: Legal representation to Tullow Zambia B.V. (“Tullow”) in judicial review proceedings and contempt proceedings by RAE Zambia Limited against Attorney General and Tullow challenging the decision of the Minister of Mines and Minerals Development to award a petroleum exploration license over Block 31 (Oil and Gas), in the Northern Province in the republic of Zambia, to Tullow under a joint venture with Geo Petroleum Limited. This matter is significant as it relates to the first ever oil exploration project in Zambia.

Zambezi Resources: Advisors and legal representatives to Zambezi Resources in relation to court proceedings commenced by Community Based Natural Resource Management on the decision of the Environmental Management Agency to approve the development of the USD 494 million Kangaluwi Copper Project.

Acted for Equinox Zambia Limited in a High Court matter involving a dispute in respect of a prospecting licence with another mining company.

Advisors and representatives to Nestle in relation to the first transfer pricing dispute with the Zambia Revenue Authority that was decided on the merits.

Advisors and representatives to Vedanta Resources Limited in a dispute with ZCCM IH in relation to the winding up proceedings relating to Konkola Copper Mines Plc.

Advisors and representatives to Kansanshi Mining Plcin relation to a derivative claim by ZCCM IH against the shareholders of First Quantum Minerals involving over USD 2, 000, 000.00.
