FORSYTE is the office for the SME entrepreneur. Do you have or are you about to get into a dispute with a customer, a supplier, a competitor or someone within your company? Or do you have a conflict with the government?

We like to help you. In consultation with you, we first look at the options available to avoid going to court. There are often more options than most people think. We can talk to the other party with you or on your behalf and in most cases litigation is not necessary at all, because we are practical, original, unorthodox and solution-oriented.

However, if there really are no other options, we will take your case to court and in this area we are creative, experienced and tenacious.

FORSYTE specializes in litigating (business) disputes. We are always one step ahead of the opponent and know exactly what it takes to win your case. As experienced litigators, we assist you during preliminary relief proceedings, proceedings before the subdistrict court or court and on appeal. We go to great lengths for you: decisiveness, expertise and commitment characterize our working method.

Employment & Labor

What is labor law

Labor law concerns the relationship between employer and employee. As an employment law lawyer, we assist both employers and employees in various employment law disputes.

When do you need an employment law lawyer?

When you draw up an employment contract, it is important to obtain professional advice about the content of this contract. The employment contract contractually binds the employee to perform work under the authority of the employer in exchange for wages. Various disputes may arise between the two contracting parties. An employment lawyer can assist you with matters such as working conditions, illness due to or during work, payment of wages, reintegration and regular dismissal or instant dismissal.

Advice on termination of the employment contract or dismissal

Terminating an employment contract, even by mutual consent, can have far-reaching consequences. Legal obligations, such as notice periods and other formalities must always be observed. An employment law lawyer can also act in cases involving unfair dismissal or summary dismissal .

Severance payment or transition payment

Under certain circumstances, employees with an employment contract of two years or longer are entitled to a transition payment upon termination of the employment contract. An employment lawyer can advise on the calculation of the transition payment or in disputes arising from involuntary termination or non-continuation of the employment contract.

Competition clause and non-solicitation clause

An employment lawyer can advise on including a non-competition or non-solicitation clause in the employment contract. A non-solicitation clause prohibits the employee from contacting relations or customers of the employer after leaving employment. A non-competition clause regulates not performing similar activities within a certain period after termination of employment. An employment lawyer or employment lawyer can advise and act in disputes concerning the non-competition or non-solicitation clause.

Business

What is corporate law?

Every SME entrepreneur wants to grow his/her business and perhaps become the best in the industry. Such a growth scenario entails risks, but this does not frighten an entrepreneur. Entrepreneurship is by definition taking risks. An entrepreneur calls this exploiting opportunities.

But entrepreneurship never wins without disputes, both internally and externally. The law assigns rights and obligations to legal entities such as companies. That is the core of corporate law.

When can you use corporate law?

  • A supplier indicates that it cannot deliver on time and that jeopardizes the timely delivery of your project, because the customer's deadline is tight. What to do?
  • Despite all clear agreements, a delivery does not meet the requirements and you know for sure that the customer will not accept this. How can you enforce the correct delivery?
  • The customer goes back on previous agreements, does not want to pay and the whole project threatens to become an expensive fiasco. How can the customer be brought back into line?
  • A competitor shoots among your pigeons with cheap imitations and that is at the expense of your market position. How can he/she be dealt with?
  • The transition from your VOF to a BV is obvious, but you will receive a lot of conflicting advice about shareholder construction, management agreement, articles of association, etc. What is wisdom?
  • You would like to take a logical next step in the development of your company, but the other members of the management board and/or the shareholder(s) think the investment is too high. Will this be a stalemate?
  • In fact, they threaten with directors' liability. Do they have a point?
  • The external party that wants to make the next growth phase financially possible requires a lot of control in the company. Can that be bypassed?
  • With the takeover of a company you could substantially strengthen your market position in one fell swoop, but how do you translate all agreements into an agreement?
  • A tenant repeatedly fails to comply with the agreements and you want to terminate the agreement. Is that possible and how do you go about it?
  • Your sales manager leaves your organization to work for the competition and approaches your customers. What are your rights?
  • A customer continues to refuse to pay and you want to seize his bank account. How do you handle that?
  • Your company has survived the pandemic, but not without debts here and there. Some creditors have run out of patience and threaten to file for bankruptcy. How can you avert it?
  • And these are just a few issues that an entrepreneur can encounter.

It therefore concerns all kinds of disputes that affect or may affect your company.

But it's not just about disputes. When entering into a contract with a supplier or concluding a lease for business premises, it can also be very wise to consult a law firm that has experience with corporate law.

Or perhaps you want to merge with that party after many years of pleasant cooperation. A corporate law lawyer can also be a good sounding board in this case.

Forsyte Attorneys

The Forsyte team can assist you with the above matters.

We look forward to meeting you and will study the documents you provide us. We then come up with a plan of action and a cost estimate.

After your approval, we get to work and use our knowledge, experience and creativity to achieve the best possible result for you.

In many cases, this can be achieved by entering into a dialogue with the other party on your behalf. But if there is no other option, we will vigorously plead your case in court and also now with all our knowledge, experience and creativity.

Bankruptcy & Debt

Insolvency law, bankruptcy law

Is there an imminent bankruptcy of your company or do you want to file for the bankruptcy of a debtor? As a specialist in insolvency law, Forsyte Advocaten acts as a bankruptcy lawyer for you. We assist both creditors and debtors in bankruptcy cases. We carefully identify the best options for you and advise you at every stage of the process. We can also assist you in applying for a suspension of payments. Moreover, we are pre-eminently litigation lawyers and can therefore assist you in any litigation regarding board liability.

Suspension of payment

In order to prevent bankruptcy in the event of payment problems, suspension of payment can be requested. This request for bankruptcy must be submitted by a lawyer. The aim of this is to be able to solve liquidity problems, for example by restructuring or debt restructuring. A request for suspension of payment is provisionally granted by the court, after which the appointed administrator(s) investigate the viability of a company. During the suspension of payments, the company cannot be forced to pay claims, unless these are priority claims. If during this period the creditors cannot be paid or if a private or judicial agreement cannot be reached,

Apply for bankruptcy

Bankruptcy can be filed by both creditors and the debtor. In the latter case, you can file for bankruptcy yourself. Enlisting the help of an insolvency law specialist is not mandatory, but it is advisable during the entire course of the bankruptcy. After a receiver has been appointed by the court, he will draw up the balance sheet and realize the assets. An insolvency or bankruptcy lawyer can assist you during the entire course of the bankruptcy and familiarize you with all laws and regulations.

If bankruptcy is requested by the creditors, there must be at least two creditors against whom the debtor is unable to meet the payment obligation. In that case, bankruptcy can be filed through a bankruptcy lawyer . In that case, Forsyte Advocaten will assess for you whether the application meets the legal requirements, after which we will submit the application to the court for you.

Directors' liability

In certain cases, the director may be held personally liable in the event of bankruptcy. This may be the case if the director has apparently performed his duties improperly and this has been an important cause of the bankruptcy. Such director's liability is a common issue in bankruptcy cases. A bankruptcy lawyer from Forsyte Advocaten can assist you if you are held liable as a director.

Reorganization lawyer

Forsyte Advocaten can also assist you when your organization is about to reorganize. A reorganization requires a careful approach, in which you keep a close eye on your legal obligations as an entrepreneur. Forsyte Advocaten therefore assists you in every phase of the reorganization process, taking all legal aspects into account.

The rules that have been laid down regarding the rental and rental of all movable and immovable property fall under tenancy law. There is talk of rent if an agreement is entered into in which the lessor undertakes to allow the lessee to use a thing (or part thereof) for a consideration. The law distinguishes between various rental objects, which may fall under their own regime with statutory rules. For example, the rental regime for residential spaces is different from that for commercial spaces.

When you rent or let a property, such as a home or business premises, this has legal consequences.
