Business

Our office is engaged in the opening and legal support of companies in Israel.

All Israeli companies are required to register with the Companies Registry. A foreign citizen or company can conduct business in Israel by opening a branch or representative office of their company or a subsidiary. In both cases, it is necessary to register the legal entity with the Israeli Companies Registry. Below we describe the stages and features of this process.

Opening a business in Israel

There are several different forms of campaigning in Israel. Depending on the type of business, the lawyer will recommend the appropriate type of company. Consulting an experienced commercial law lawyer will allow you to register your business quickly, correctly and with minimal effort on your part.

The main types of companies in Israel are as follows:

  • An organization not aimed at making a profit (amuta);
  • Individual entrepreneur (osek patur);
  • Medium business (osek murshe);
  • Limited Liability Company (khevra baam);
  • Partnership or partnership (shootfoot).

Request to open a company

To open a company, you must submit a request to the Registrar of Companies. The following documents must be attached to the request to open a company:

  1. Company Charter;
  2. Declaration of the first directors;
  3. Declaration of founders.

The founders and directors of the company affix their signatures to each of the listed documents, and the lawyer certifies the signatures with his seal.

Company Charter

The company's charter must include the following information:

  1. Company name ;
  2. Goals of the company's activities that do not contradict Israeli legislation ;
  3. The size of the company's authorized capital ;
  4. Information about the limitation of liability of participants ;
  5. As well as other information, at the request of the participants, for example, issues of company management, rights and obligations of participants .

The company's articles of association can be drawn up in English.

Company name

The founders can choose a name for the company at their own discretion. There are a number of restrictions associated with choosing a company name. A company cannot be created under a certain name if:

  1. Another company is registered under the same name ;
  2. The chosen name is a trademark ;
  3. The chosen name harms established social norms or offends public interests .

It is advisable to provide in advance three options for the name in Hebrew and, if desired, in English. This will help avoid the return of an application to open a company due to an inappropriate name.

Bankruptcy & Debt

The most common cause of debt in Israel is a bounced check. Every Israeli resident uses checks on a daily basis. Checks in their legal meaning are equivalent to cash. However, checks are very often returned unpaid for various reasons, be it a lack of funds in the debtor's account or an order to cancel the check, and so on. Any returned check can be immediately submitted to the bailiff service for execution.
Sometimes you don’t even pay attention to the fact that you have a document in your hands that can be used to collect the debt through enforcement proceedings. An example of such a document is a promissory note. Another example would be a receipt. An agreement specifying the exact amount to be paid is also such a document. What do these documents have in common? — A clear indication of the amount of debt and the deadline for its payment. If you have these documents, you can file a claim against your debtor to collect the debt through the bailiff service.

As the winning party in the lawsuit, you may think that this is all over and the money will be transferred to you automatically. However, debtors continue to evade payment, even after losing the case. Debt collection in such cases will require you to transfer the judgment to the bailiff service for execution.

Debt & Collection

Real Estate

Our law office in Tel Aviv provides legal support for real estate transactions throughout Israel and represents clients in courts in disputes related to real estate. We have extensive experience in this area and an individual approach to each client.
The most common types of transactions:

  • Transactions with the rental of apartments, houses and commercial real estate;
  • Drawing up purchase and sale agreements;
  • Inheritance of real estate and apartments;
  • Buying real estate from the developer, second hand;
  • TAMA 38 and “resettlement and construction” projects: Legal support for residents in TAMA 38 projects as well as in “resettlement and construction” projects

Residential property rental

For each of us, housing is a vital issue. However, it often happens that apartment rental transactions are completed with the participation of only one realtor or apartment owner. In most cases, the realtor represents the landlord. Thus, when concluding an apartment lease agreement, the tenant acts without a representative. Often, an agreement is signed blindly, that is, without even knowing the language. At first glance, the apartment has been rented and everything is fine. But at the first problem, questions begin to arise. Who is responsible, who should fix it, who pays for the repairs, and so on. Subsequently, when the lease agreement is renewed for a new term, questions also arise. Does the landlord have the right to raise the price during the option period (extension for the same period), does the tenant have to pay a commission to the realtor for extending the contract, and so on. It is important that the lease agreement is initially drawn up correctly with the participation of a lawyer, then living in a rental property will be much more pleasant.

Providing residential real estate for rent

When acting as a landlord in a transaction, you of course think about how to protect your property from unscrupulous tenants. How to ensure that your property is not damaged and that the apartment is not used for purposes not related to living. How to prevent yourself from a situation where a tenant stops paying you rent, and it is impossible to evict him. In these and other cases, a lawyer will help you, both in drawing up a lease agreement and in resolving disputes that have arisen with an unscrupulous tenant. A lawyer will help you rent out an apartment in Israel and will accompany you at all stages of the transaction.
