Business formation:

Mergers & Acquisitions (M&A):
 
a) Conducting due diligence: In mergers and acquisitions, due diligence is a critical process that involves investigating the target company's financial, legal, and operational status to identify any risks or liabilities that may affect the transaction. We assist clients in conducting due diligence by reviewing contracts, financial statements, legal documents, and other relevant materials.

b) Negotiating and drafting transaction agreements: We negotiate and draft various transaction agreements, such as share purchase agreements, asset purchase agreements, merger agreements, etc. We ensure that the terms of the agreement are in compliance with applicable laws and regulations.

c) Obtaining regulatory approvals: M&A transactions in Bangladesh require various regulatory approvals, such as approval from the Securities and Exchange Commission and the Registrar of Joint Stock Companies and Firms. We assist clients in obtaining these approvals and ensuring compliance with relevant regulations.

Intellectual Property Law:

We assist clients with registration, protection, and enforcement of their intellectual property assets. They also provide services related to IP portfolio management, litigation, and due diligence. These may include disputes over cargo damage or loss, vessel collisions, salvage operations, and marine pollution. We also handle disputes related to maritime liens, which are legal claims against a ship or its cargo for unpaid debts.

b) Vessel financing and registration: We advise clients on vessel financing, registration, and documentation issues. We help clients to navigate the complex legal requirements for vessel ownership and registration, and assist with the drafting and negotiation of vessel financing agreements.

b) Compliance: Advising clients on compliance with labour laws and regulations, including minimum wage requirements, working hours, and workplace safety standards. We also assist clients in developing and implementing policies and procedures to ensure compliance with these laws.

d) Employee relations: Advising clients on matters related to employee relations, such as disciplinary actions, termination, and harassment.

e) Dispute resolution: Representing clients in disputes related to employment issues, such as wrongful termination, discrimination, harassment, and breach of contract.

f)  Restructuring and downsizing: Advising clients on labour issues arising from business restructuring or downsizing, such as employee terminations, severance packages, and re-employment options.

g) Trade unions: Advising clients on issues related to trade unions and collective bargaining, including negotiating collective bargaining agreements and resolving disputes between employers and trade unions.

We advise clients on the requirements for copyright registration and work with them to prepare the necessary documents and filings.
