The legal firm Legalis provides advice to small and medium-sized companies on company law issues, such as the incorporation of a company and the choice of optimal structuring.

A company will be able to face a number of company law issues in the company's various stages. Our lawyers assist, among other things, with the establishment of a company and the choice of optimal structuring, purchase and sale of business (M&A), equity transactions, share issues, conversions or reorganisations, mergers, demergers and liquidation of companies.

Our lawyers assist in questions about the financial cohabitation between spouses and cohabitants, as well as how the settlement should take place in the event of divorce and break-up.

Dispute resolution and procedure

The legal firm Legalis assists in resolving disputes - both through mediation, in complaints boards, conciliation councils and in the courts.

Mediation and out-of-court settlement

Most disputes and disagreements are resolved by negotiations and mediation outside the courts. The advantage of an out-of-court settlement is that the client saves time and can quickly put the dispute that has arisen behind them. In addition, you avoid the risk of being fined the other party's legal costs, as you risk in legal proceedings. We assess at all times whether an out-of-court settlement is appropriate and we present the advantages and disadvantages to the client in an accessible and clear way.

Boards of Appeal

Some types of case can be decided in independent tribunals that are adapted to the type of case. Cases concerning agreements on the purchase and sale of goods between consumers and traders are often brought to the Consumer Complaints Committee, disputes between tenants and landlords are often resolved by the Rent Disputes Committee and the Financial Complaints Board handles complaints against banks and insurance companies. There are also a number of other appeals boards.

The Conciliation Council

Many civil cases are dealt with in the conciliation council. The Conciliation Council sets up mediation between the parties, and we often see that cases are resolved with an appropriate result after the parties have met face to face. We have good experience in preparing complaints to the conciliation council, in participating in the actual meeting of the conciliation council or only in giving advice ahead of the meeting if the client wishes to go alone.

District Court, Court of Appeal and Supreme Court

In other cases, court proceedings are necessary to achieve a satisfactory result. Our lawyers work with cases that are dealt with in district courts and courts of appeal throughout the country. We also have a lawyer with the right to appear before the Supreme Court.

Costs

In many cases you are right, but it costs money to be right. The legal firm Legalis seeks to keep the costs at a reasonable level so that you, as a private person, will be able to afford to litigate the case and obtain the right you believe you have. If you succeed in your case before the courts, the other party will be ordered to cover your legal costs.

As a private person, you also often have legal aid cover in your general contents or house insurance which covers a number of different types of cases, including disputes that are not linked to contents or houses. This means that the insurance company covers a large proportion of the costs of dispute resolution, and the financial risk for the client is correspondingly lower.
