Then, our office proceeds with contract redrafting and suggesting legal solutions/proposals for full legal compliance of the entrepreneur in the existing legislative framework.

Business

"Corporate law" is a sub-branch of commercial law that, due to the ever-increasing complexity of the rules governing company law, can also be distinguished as an independent branch of law.

Corporate law includes rules related to:

  • with the standard company formation process
  • with the internal relations of the partners of a company
  • with the rights of the minority partners and the privileges of the majority
  • with the standard procedures that ensure transparency and protect the rights of third parties
  • with the responsibility of managers vis-à-vis the partners
  • with the conditions and procedures for the transformation of companies
    , etc.

The role of the lawyer is important already long before the establishment of the company because all the above rules, in combination with the taxation rules of the various corporate types, are decisive for the entrepreneur's choice of the appropriate corporate type for his business activity.

The formation of a company without the involvement of a lawyer, which is often avoided either for reasons of ... economy or because of the irresponsible initiative of accountants and accounting offices, often leads to mistakes that, when discovered years later, cost time and money. This phenomenon is particularly pronounced in cases of setting up personal companies (eg OE, EE) where the law does not require the representation of a lawyer to sign the private establishment agreement. But especially personal companies are the ones that require a lot of attention and supervision by a lawyer, because in them the responsibilities of the partners may exceed the limits of the legal entity, and they are also the most difficult to manage, in case of disagreements.

Just as seriously as the establishment of the company, its operation must be treated as well. Corporate law, because in its many guises it aims to protect third parties and the minority of partners, includes many formal procedures that, if not followed in accordance with the law, may entail invalidities or create serious problems, even after years.

Our law office undertakes advisory as well as legal support in corporate law cases in courts of all levels.

More specifically:

  • Establishment of companies
  • Management of companies and operation of administrative bodies
  • Meeting of partners
  • Decisions and minutes of administrative bodies and general assembly
  • Infringement and annulment of management or shareholders' meeting decisions
  • Protection of partner(s) rights
  • Protection against illegal management actions
  • Compensation against members of management
  • Administration problems (judicial appointment of administration)
  • Company closure (dissolution and liquidation)

For more issues related to the proposal of the partners, one can search for publications on our website (e.g. on the exit-exclusion of a partner or on the responsibility of the managers or on the invalidity of the decisions of the company or on the disagreement of partners etc.) or even and contact us for clarification.
