Can I register a Cyprus company while living abroad, and what documents need apostille?

I’m a Cyprus citizen living in the UK and want to incorporate a private company in Cyprus without travelling. Some documents will be signed overseas and I’m unsure if they must be notarised and apostilled. I also want to know the usual timeline and costs for registration.

The process begins with the name approval application, followed by the submission of all required incorporation documents to the Cyprus Registrar of Companies by the engaged professional. Using the accelerated route, name approval response is typical given within one week, and the company can be incorporated within 1-2 weeks from the time of submission of all necessary documents. In brief, in order to establish a Cyprus company (the "Company"), the following information is required:

- Approval by the Registrar of Companies of the proposed name of the Company;
- Brief description of the main objects of the Company;
- Amount of the nominal capital of the Company, how it is going to be divided and in what currency;
- Personal details of the proposed registered shareholders and the proportion in which they will hold the shares of the Company;
- Personal details of the beneficial owners of the Company and the nature and proportion of their beneficial interest;
- Personal details of the proposed directors and secretary of the Company; and
- Proposed address of the registered office of the Company.

Once all the above information is received, the registration of the Company takes approximately 1 week from the date of submission of all the required filings to the Registrar of Companies, provided that the name of the Company has already been approved by the Cyprus Registrar of Companies.

The procedure for the incorporation of the Company can definitely take place without the need to travel to Cyprus, though certain documents shall need to be provided in wet-ink originals. Notarisation/apostille is not required for the actual incorporation of the Company, but it may be the case that the certain documents - which we may request for our KYC ('know your client') exercise - shall need to be apostilled.
