I’m a shareholder in a Hong Kong private company and one director is refusing to resign, and won’t attend or allow meetings to proceed. We’re worried he’s paralysing the business and may be breaching his duties. What legal steps and company procedures are available to remove or suspend him, and how long could it take?

While shareholders can generally remove a director by ordinary resolution at a general meeting, we would need other information and documents such as the shareholders’ agreement and the company’s articles of association to advise on the proper approach and procedures to remove a non-cooperative director.
