How do I register an SRL in Romania if my co-founder lives abroad and can’t sign in person?

Yes, this is possible. The co-founder can sign directly by qualified electronic signature, without the need for a power of attorney, or alternatively sign physically and send scanned copies of the signed documents. A power of attorney is therefore not required.

From your side, the Trade Register will only need:
- a copy of the passport and a document proving the residential address.

Yes, you can form the SRL even if your co-founder is in the UK. All the necessary documents can be signed either by handwritten signature or electronic signature. First of all, in order to incorporate an SRL, you will need a company name, which must be reserved with the Trade Register using the dedicated form. The name reservation is valid for one month. Then, in addition to the future shareholders’ identity documents, you will need, among other things: (i) a document proving that you have a space to be used as the registered office, (ii) to choose the scope(s) of activity that the future company will carry out, and (iii) to sign the articles of association of the future SRL. Further, certain statements/declarations from the future shareholders will also be required and, depending on the specifics of the future SRL, the Trade Register may request additional documents. All of these documents can be prepared by a lawyer, who can also file the full set of incorporation documents with the Trade Register on your behalf.
