In Romania, can I register an SRL remotely and appoint a non-resident administrator?

Yes, it is possible. A Romanian limited liability company (SRL) can be incorporated remotely, and the registration formalities can be handled through a Romanian lawyer or through another third party acting on the basis of a notarized power of attorney. On the other hand, while the Trade Registry registration itself can be completed remotely, banks will, in practice, often require the administrator to appear in person when opening the company’s bank account, especially where the administrator is a non-resident.
As regards the residency and tax aspects of your question, a non-resident may also be appointed as administrator of the SRL. Romanian law does not require the administrator to establish residence in Romania simply for holding that position. That said, if the administrator will receive income from the company’s activity, for example an administrator’s fee or other taxable income in Romania, Romanian tax registration should also be addressed, including obtaining a Romanian tax identification number.
