CORPORATE ADVICE

A major area of J&Co practice is corporate advice. Our clients include companies operating in manufacturing sector, infrastructure projects, property, construction and engineering. The range of work includes advising on all aspects of corporate and commercial matters, including contracts, company laws and taxation.

In addition to routine advice on the formation and conduct of companies, joint ventures and partnerships, the firm is engaged in major transactional work. This includes advise on the purchase, sale and financing of companies and businesses and capital projects as well as corporate re-organizations. Advice is provided on commercial agreements such as agency, distribution, franchising, licensing, manufacturing and equipment leasing and on trading and consumer law.

• Advise on the sale and purchase of the largest steel manufacturing plant in Oman by a large Indian steel & power group.
• Advise to a Brazilian aircraft manufacturing company on some aspects of its sale and service contracts in Oman.
• Drafting, negotiating and advising on a sale and purchase contract in respect of Helicopters with an Italian Company.
• Advise to a Japanese conglomerate acquiring a stake in a large Fertilizer Company.

DISPUTE RESOLUTION, LITIGATION & ARBITRATION

We deal in litigation involving banking/finance issues, construction disputes, corporate matters, tax related issues and constitutional matters. In this connection we represent and act for clients before the Supreme Court of Pakistan, High Court, District Courts, Civil Courts, Banking Tribunals, Customs, Sales Tax and Excise Tribunals, Departmental Authorities, Labour Courts, NIRC, Commissioners of the SECP and many other authorities set up under the law.

INSURANCE

We have acted in the establishment of insurance and related businesses including obtaining any necessary authorizations or registrations and advising in respect of insurance claims.

INTELLECTUAL PROPERTY

Our services includes advice on the registration, protection and assignments (sometimes as part of a corporate takeover or restructuring) of trademarks, patents, copyrights, and registered designs. We also conduct litigation concerning any disputes, which may arise, including questions of ownership, validity and infringement of the Intellectual Property Rights.
