We work within emerging markets, i.e. in jurisdictions that are the recipients of investment. Upon the collapse of the USSR, the governments of the independent states began the active privatisation of assets that were once owned by the communist regime. In most cases, the state companies were privatised in the form of stock companies, which was a complete novelty under the laws of the time. Although corporate law has since evolved to accommodate some western business concepts, many remain unfamiliar to the post-soviet states.
Our Corporate and M&A practice is typically involved in reorganisations, reconstructions, mergers, demergers, acquisitions, public takeovers, joint ventures and disposals. Economic growth in emerging markets often leads to the frequent acquisition of local companies by foreign enterprises, and the process continues. We have been engaged in hundreds of due diligences over the last eight years and have advised both the buyers and sellers of countless equity and asset disposals and acquisitions in the region.
Advice typically covers:
- acquisition of state-owned enterprises
- joint ventures and subsidiaries
- antitrust
- due-diligences
- foreign investments
- corporate reorganisations
- insolvency
- employment and immigration
- management buy-outs
