Our M&A department is an industry leader that is consistently involved in the most significant and complex M&A transactions. Our M&A team has decades of experience in a broad range of M&A deals, with particular expertise in advising North American, European and Asian investors in their M&A transactions with Israeli companies.

Our M&A team offers comprehensive legal services to acquirers, sellers, targets, investors, special committees and financial institutions, including:

• Negotiating share and asset purchase transactions;
• Advising on statutory mergers; reverse triangular mergers; exchange and cash tender offers; spin-offs; recapitalisations, leveraged buyouts, joint ventures and court approved arrangements among shareholders;
• Conducting legal due diligence reviews and assisting selling companies in the preparation of due diligence disclosures;

• Advising on the treatment of management and employee participation and incentive programs in M&A transactions;

Our team has led the way in advising on different types of M&A transactions in recent years, including the sale of management activities of provident funds, mutual funds management, ETFs, transfer of portfolio management activities, stock or asset purchases of private and public companies, splits, tender offers, purchases of shell companies and equity restructuring of major Israeli public companies.

The Intellectual Property Practice provides a full range of commercial/transactional services covering all aspects of intellectual property and information technology law, including: technology transfer and computer software patent and trade secret licensing; intellectual property due diligence for M&A and capital market transactions; trademark, merchandising, and copyright licensing; client counselling in all facets of intellectual property matters; transactions in digital media and electronic distribution; franchising; issues relating to breeders’ rights; and enforcement of intellectual property and related rights before judicial and administrative tribunals, including border control measures and anti-counterfeiting measures. Due to the international nature of its clients, the Intellectual Property practice manages the worldwide IP portfolio of a number of major multinational corporations and is well-known for its unique specialty in handling trademark matters within the gaming industry. In addition, the team is vastly experienced in dealing with cybersquatting and domain name disputes all over the world.
