I'm planning to open a small cafe in Mexico City and want a formal business. Do I need to register the trade name (nombre comercial), form a company, and obtain my tax ID (RFC) with the SAT? Additionally, what municipal permits or licenses are required and how do I file them with the Registro Público de Comercio?

To open a small café in Mexico City, there are three main steps, plus local permits:

1. Business structure and name
You may operate as an individual (persona física) or form a company (commonly S. de R.L. de C.V. or S.A. de C.V.). A nombre comercial can be used, but legal protection requires trademark registration with IMPI. Companies must be incorporated before a notario público.

2. Tax ID (RFC)
You must register with the SAT to obtain an RFC, choose the correct tax regime, issue electronic invoices (CFDI), and comply with ongoing tax filings.

3. Public Registry (if a company)
If a company is formed, it must be registered with the Registro Público de Comercio through the notario.

Additionally, cafés in Mexico City require municipal permits, which typically include zoning authorization (uso de suelo), an operating notice or license, civil protection approval, and applicable health permits. These are handled at the alcaldía level.

As attorneys, we can assist in structuring the business correctly and coordinating all registrations and permits to ensure compliance from the outset.

Opening a café in Mexico involves several legal steps, and it’s important to structure everything correctly from the start to avoid future issues.

We can assist you throughout the entire process, including:

  • Determining whether it’s best for you to operate as an individual or to form a company in Mexico.

  • Legally constituting the company, if applicable, and handling its registration.

  • Registering your business before the SAT and obtaining the RFC.

  • Advising on brand protection (trade name and/or trademark).

  • Guiding you through the required local and municipal permits in Mexico City, depending on the type of café you plan to operate.

Our goal is to ensure your business is fully compliant, properly structured, and ready to operate legally in Mexico from day one. We’d be happy to review your project and help you choose the best legal path for your café.
