Founding Partner: The Late Mrs. Rose Simba
The Corporate and Business Law Division in the Commercial Law Department has wide and extensive experience in acting for both corporate and other clients engaged in all sectors of business. The Firm deals with the incorporation of companies and business enterprises; the preparation, perusal, authentication and witnessing of commercial contracts and agreements; loan agreements; the drafting and perusal of banking securities that involve companies such as debentures; mergers and acquisitions. The Firm also provides legal advice as necessary to its clients in the various business areas that such clients are involved in. The Firm has conducted Legal Due Diligence for clients and advised clients wishing to list shares on the Securities Exchange.
We have advised clients on the issuance of Scrip Dividend and any other matters relating to Capital Markets. We have also advised clients on good corporate governance. Through this Division we act for several corporate clients that include banks, financial institutions, companies listed on the Securities Exchange and those not listed, insurance companies among others.
We also advice and assist companies in complying with all legal and legal related requirements to operationalize businesses in Kenya and within the East African Region.

In recognition of this fact, our Firm has acquired expertise in matters relating to advisory, registration and dispute resolution of all manner of Intellectual Property (IP) including Patents, Utility Models, Trademarks, Trade Secrets, Domain Names and Franchising, Industrial Designs, Copyright, Anti-Counterfeit Procedures, Plant Breeders’ Rights and Geographical Indications. The Intellectual Property Division, under the Commercial and Corporate Law Department, has continued to gain extensive experience both locally and in the vast East African region including major wins in IP Cases from acting on behalf of its Clients who are drawn from a number of industries and sectors. Additionally, the Firm is building expertise in matters relating to telecommunication and information technology. Under our Conveyancing and Property Law Department, the Firm advises various clients on aspects of purchase of real properties and the securitization of the properties for loans and mortgages.
The Conveyancing and Property Law Department has 3 divisions:
The Firm drafts all documents relating to Conveyancing transactions and generally deals with all other matters relating to property transactions including but not limited to the transfers, mortgages and charges and we carry out registrations of the property ownership within minimum time. We have good working relations with various land offices within the country. The Firm acts for financial institutions to wit Banks and Mortgage Companies lending funds to the Purchasers. Additionally, the Firm acts for and advises Vendors and Purchasers of the properties.
Under the Civil Litigation Department, the Firm has undertaken arbitration proceedings for its clients. The Advocates in the Firm have undertaken courses in arbitration and mediation.
Disputes inevitably occur even where meticulous preparation and avoidance mechanisms are applied. It is for this reason that we have established a department to exclusively deal and assist the other departments in dispute resolution.
Recovery * Defence * Negotiations * Personal Injury Claims
Under our Civil Litigation Department, we represent several insurance companies. We handle Civil Litigation on their behalf, in particular claims relating to personal injury and material damage (or insurance recovery under the doctrine of subrogation).
We also give our clients legal opinions on all related insurance matters including any changes to the law and on any potential liability that they may be exposed to in matters in which they have placed insurance cover.
We further negotiate on behalf of our clients under the banner of ‘Without Prejudice’ basis with parties that have sued our insurance clients and put them to strict proof of any claims that they make against our clients. Where necessary we take up the matters to court to obtain a final and binding position.
In addition, we handle the post judgment processes including the execution of decrees or related legal necessities such as appeals.
The Family Law Division seeks to find solutions to issues relating to often complex relationships between individuals who share a domestic connection including marriage and parenthood among others. It therefore involves work with varying groups from children to the elderly and any other in between. Some of the issues dealt with include marriage, divorce, dissolution, division of property, child custody, parental rights and obligations, adoption inter alia.
The Firm represents clients in family court proceedings as well as supervised mediation sessions to ensure the matters come to fruition. The Division prides itself in effectively and empathetically managing emotionally unpredictable situations to ensure our Client’s needs and interests are secured.

Under our Commercial Law Department, we draft the various Letters of Engagement or Employment Contracts for several of our corporate clients. We also draft various policies that are required at the workplace and are also involved in Collective Bargaining Agreements that our clients may wish to enter into with any of their unionisable staff. We also advise them on any breaches of employment contracts and defend them in any Civil Litigation that may arise.
We offer consultancy services on the new labour,laws and other related labour legislation. The Firm has also advised clients on all developments and deduction in the employment, including taxation matters, Employee Share Ownership Schemes, Loans, Sacco deductions amongst others.
Under the Civil Litigation Department at the Firm, we act for clients who wish to recover amounts that are lent to persons and institutions under debt recovery work that we do for our client banks and other financial institutions.
Additionally, we take up Civil or Commercial Litigation that may be filed against our corporate clients arising out of claims of breach of contracts or otherwise that involves payment of some sums.
We also institute such Litigation where necessary on behalf of our clients.
